LETTER OF AUTHORITY FOR ELECTRICTY & GAS ACCOUNTS

This is to confirm that I/ we have requested Solarcell Energy Pty Ltd (SE) to seek competitive terms for the supply of electricity and gas for a new contract &/ or obtaining access to our interval data for the specified time frame.

SE PROCUREMENT SERVICES AND ACKNOWLEDGEMENT

SE will obtain quotes from Australian-based energy retailers for the supply of energy to our sites within the geographic region of Australia.

We acknowledge that:

SE is a broker for energy retailers and will receive a fee from an energy retailer in respect of any energy supply contract we enter into with an energy retailer. Any quotation SE provides on behalf of an energy retailer will be subject to the energy retailer's standard terms and conditions and the quoted price is indicative only, with the energy retailer not being bound until we enter into an energy supply contract with the energy retailer.

We are required to enter into an energy supply contract with an energy retailer directly and SE has no authority to agree binding terms on behalf of the energy retailer.

Liability
(a) To the extent permitted by law, SE will not be liable in respect of any loss or damage howsoever caused (whether by negligence or otherwise) which may be suffered or incurred or which may arise directly or indirectly in respect of the procurement services it supplies to us.

(b) Without limiting the operation of (a) above, SE will not be liable to us in any circumstances for:

i. any indirect, special or consequential loss or damage we suffer or incur (or anyone claiming through us);

ii. any claim, loss or liability arising out of our negligence or default; or

iii. loss of profits, business opportunities, revenue or damage to goodwill we suffer, however caused.

Authorization to collect information: I/ we confirm that SE are authorised to collect our past 12-month consumption and ongoing data from the suppliers for 36 months from the date of this signed letter of authority. Please provide them with all necessary assistance in this regard. Please ensure all contracts, quotes, tendering requests, billing requests and any other queries relating to this process are directed through Solarcell Energy.

Privacy: I/ we authorised SE to collect personal energy related information about us, and to use that information for the provision to and administration of services to me/ us. SE warrants to use all reasonable endeavours to keep such personal information provided secure.

Indemnity: I/we indemnify, and agree to keep SE indemnified against any claim, action, suit, demand or expense whatsoever arising by virtue of provision of services to me/us.
